Terms and conditions
These terms govern the services and software licences supplied by SysWake. They apply in the absence of a specific signed contract; where they conflict with such a contract, the contract prevails.
1. Quotations and orders
Prices shown on the site, and the ranges produced by the quotation questionnaire, are indicative. They are not an offer: only a named quotation signed by both parties binds SysWake. A quotation is valid for thirty days unless stated otherwise.
2. Prices and currency
Prices are in CFA francs (XOF), excluding applicable taxes. Conversions to euros or dollars shown on the site are for information only; the invoice in XOF prevails unless otherwise agreed in writing.
3. Payment
Accepted methods are shown at checkout: Mobile Money, Wave, money transfer (NITA, Amana, MoneyGram, Ria), bank transfer or cash at our office. Each payment is matched manually to its order using the reference given to the customer; a transfer sent without that reference delays delivery until it can be identified.
Unless otherwise agreed, services are paid 40% on order and the balance on delivery. Software licences are paid in advance. Money transfer fees are borne by the customer.
4. Licence delivery
Licence keys are generated once payment is confirmed, sent by email and available in the customer area. A licence is issued to the customer organisation and covers the number of users in the chosen plan.
5. Free trial
Where a free trial is offered, it carries no obligation and requires no payment method. At the end of the trial, access is suspended with no automatic billing. Data entered during the trial is kept for thirty days and then deleted if no subscription follows.
6. Performance
SysWake undertakes a duty of best efforts. Announced timescales assume the customer provides the necessary information, access and contacts. Any delay attributable to the customer shifts the schedule accordingly, without penalty for SysWake.
7. Support and service levels
Support is provided through tickets in the customer area, by email and by phone during published hours. Response and resolution times depend on the service level subscribed and are set out on the Security & SLA page.
8. Intellectual property
SysWake retains ownership of its software, methods and tools. The customer receives a non-exclusive, non-transferable right of use for the term of the licence. Data entered by the customer belongs to the customer and is returned on request in a usable format, including at the end of the contract.
9. Confidentiality
Each party undertakes not to disclose the other's confidential information during the contract and for five years afterwards.
10. Liability
SysWake's liability is limited to the amount actually paid by the customer for the service concerned over the preceding twelve months. It does not cover indirect damages, loss of business, or the consequences of use inconsistent with the documentation or of modification by a third party.
11. Termination
An annual licence renews automatically unless cancelled thirty days before its anniversary. In the event of serious breach, the aggrieved party may terminate after a formal notice that has remained without effect for thirty days.
12. Governing law and disputes
These terms are governed by the law of Niger. The parties will seek an amicable settlement of any dispute; failing agreement within sixty days, the competent courts of Niamey have jurisdiction.
